Terms of Service

Please read these Terms of Service ("Terms") carefully before using Wadsworth.ai ("the Service") operated by Wadsworth ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using Wadsworth, you confirm that you are at least 18 years old, have read and understood these Terms, and agree to be bound by them. If you are using the Service on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.

2. Description of Service

Wadsworth is an AI-powered organic marketing platform that generates marketing plans, content calendars, social media content, and design assets for businesses and content creators. The Service uses artificial intelligence to assist in content creation and does not guarantee specific marketing outcomes or business results.

3. Account Registration

To use the Service, you must create an account with a valid email address. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

You may not create accounts using automated means or create multiple free accounts to circumvent plan limitations. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription Plans and Billing

4.1 Free Plan

The free tier provides limited access to the Service at no charge. Free plans include the Wadsworth watermark on exported content and are subject to usage limits as described on our pricing page.

4.2 Paid Plans

Paid subscriptions are billed monthly or annually in advance. Prices are subject to change with 30 days notice. Refunds are not provided for partial months. Annual plans may be refunded within 14 days of purchase if you have not generated more than 10 content pieces.

4.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the period ends. We do not offer prorated refunds for early cancellation.

5. AI-Generated Content

The Service uses large language models and AI image generation to create content on your behalf. You understand and agree that:

• AI-generated content may not always be accurate, current, or free from errors. Review all content before publishing.
• You are solely responsible for content you publish, share, or distribute — regardless of whether it was generated by the Service.
• The Service does not guarantee that generated content is original, unique, or free from copyright claims.
• Marketing claims, statistics, and data points generated by AI should be independently verified before use.

You own the content you generate using the Service, subject to your compliance with these Terms and applicable law.

6. Acceptable Use

You agree not to use the Service to:

• Generate content that is deceptive, defamatory, harassing, or illegal
• Create spam, unsolicited communications, or fake reviews
• Impersonate other individuals, businesses, or brands
• Violate intellectual property rights of third parties
• Circumvent platform terms of service for Instagram, TikTok, LinkedIn, or any other social media platform
• Attempt to reverse engineer, scrape, or extract data from the Service through automated means

7. Intellectual Property

The Wadsworth name, logo, platform design, and underlying technology are owned by us and protected by intellectual property laws. You may not reproduce, modify, or distribute our platform or branding without written permission.

You retain ownership of your business information, brand assets, and any content you create using the Service. By using the Service, you grant us a limited license to process your data to provide the Service.

8. Third-Party Services

The Service integrates with third-party providers including Anthropic (AI generation), Replicate (image generation), Supabase (database), LinkedIn (profile data), and others. Your use of these integrations is subject to the respective third parties' terms of service. We are not responsible for the practices or content of third-party services.

9. Privacy

Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it carefully.

10. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED CONTENT WILL MEET YOUR SPECIFIC NEEDS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

We shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunities.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of significant changes by email or by posting a notice on the Service. Continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of the State of Tennessee, United States, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Williamson County, Tennessee.
